An AI governance framework sets the rules, roles, and processes your business uses to manage AI responsibly. Without one, you risk regulatory breaches, biased outcomes, reputational damage, and loss of customer trust.

A governance framework is not a single document. It is a set of interconnected policies, processes, and accountabilities that ensure every AI system in your business is developed, deployed, and monitored in line with legal requirements and ethical standards.

This guide explains how to build a practical framework that satisfies regulators without creating unnecessary bureaucracy. It is structured around the five areas that matter most: accountability, transparency, fairness, record-keeping, and the UK's cross-cutting AI principles.

Why AI governance matters

UK regulators increasingly expect businesses to demonstrate that they have governance structures in place for AI. The ICO's guidance on AI and data protection explicitly requires organisations to show accountability. The EHRC expects businesses using AI in recruitment or service delivery to demonstrate they have tested for discrimination.

Good governance also protects your business commercially. It reduces the risk of AI failures that damage your reputation, helps you respond quickly to regulatory enquiries, and builds trust with customers and employees who are affected by AI decisions.

You do not need a large compliance team to implement effective AI governance. Even a sole trader using an AI chatbot needs basic governance — understanding what the chatbot does, how it handles personal data, and what to do if it produces harmful outputs.

Accountability: who is responsible

Every AI system in your business must have a named person accountable for it. This person does not need to understand the technical details of the algorithm, but they must be able to answer three questions: what does this AI do, what are the risks, and what safeguards are in place.

For larger organisations, consider establishing an AI governance board or committee that brings together senior leaders from technology, legal, compliance, and the business functions that use AI. For smaller businesses, the owner or a senior manager can fulfil this role.

The accountable person or board should:

  • Approve the deployment of new AI systems after a risk assessment
  • Review AI performance and incident reports at least quarterly
  • Ensure adequate resources for monitoring, testing, and oversight
  • Escalate significant AI failures or regulatory concerns to the board

Transparency: explaining AI to those affected

Transparency means being open about when and how you use AI, and giving people meaningful information about how AI decisions affect them. This is both a legal requirement under UK GDPR and a practical necessity for maintaining trust.

Your transparency obligations include:

  • Privacy notices must state when you use automated decision-making or profiling, what logic is involved, and the significance and consequences for the individual
  • At the point of interaction, tell people when they are dealing with an AI system rather than a human
  • When challenged, provide a meaningful explanation of how an AI decision was reached, in terms the affected person can understand

Transparency does not mean publishing your source code or revealing trade secrets. It means providing enough information for individuals to understand how AI affects them and to challenge decisions they disagree with.

Fairness: testing for bias and discrimination

AI systems can perpetuate or amplify existing biases in the data they are trained on. A recruitment algorithm trained on historical hiring data may learn to favour candidates from demographic groups that were previously over-represented. A credit scoring model may disadvantage applicants from certain postcodes that correlate with ethnicity.

Your governance framework must include processes for:

  • Testing AI outputs for disparate impact across protected characteristics before deployment
  • Ongoing monitoring of AI decisions for emerging bias patterns
  • Investigating and remedying any bias discovered during monitoring
  • Documenting your testing methodology and results as evidence of compliance

Record-keeping: maintaining an audit trail

Regulators expect you to maintain records that demonstrate your AI governance arrangements are more than a paper exercise. Good records also protect your business if a decision is challenged in court or an employment tribunal.

Your AI records should cover:

  • The purpose and legal basis for each AI system
  • Risk assessments and DPIAs conducted before deployment
  • Bias testing results and any remedial actions taken
  • Complaints, challenges, and outcomes relating to AI decisions
  • Changes to AI systems, including retraining, updates, and decommissioning

Retain records for at least as long as the AI system is in use, plus any additional period required by sector-specific regulations or limitation periods for legal claims.

Apply the five AI regulatory principles

Your governance framework should be built around the UK government's five cross-cutting principles for AI regulation. These principles guide how all UK regulators approach AI within their remits, so aligning your framework with them ensures you meet expectations across every sector regulator.

Putting your framework into practice

Start by documenting the governance arrangements you already have. Many businesses have relevant policies — data protection, equality, risk management — that simply need extending to cover AI explicitly.

Then identify the gaps. If you have no process for testing AI for bias, that is a priority. If nobody is accountable for AI decisions, assign responsibility. If you cannot explain how your AI works to a customer who asks, work with your provider to understand it.

Review your framework at least annually, or whenever you deploy a new AI system or significantly change an existing one. The regulatory landscape for AI is evolving, and your governance arrangements must keep pace.
